The foreign investment review is an international publication published annually by Law Business Research Limited,
a team of international legal experts. Sefton Fross contributors this year were: our Managing Partner, Mrs Olayemi Anyanechi

Sefton Fross is pleased to announce the appointment of our Managing Partner, Olayemi Anyanechi, as the Chairman of the Mergers, Acquisitions & Corporate Reorganizations Committee of the Nigerian Bar Association Section on Business Law.

Olayemi brings to the table the experience and expertise required to add value to the laudable achievements of the Committee through a proven record of operational leadership, strategy development and relationship management.

With twenty years cognate experience in diverse areas of law, including Banking and Finance, Capital Markets, Energy and Natural Resources, and Corporate & Commercial Law, she has acted for numerous corporate organizations and multinationals in virtually all legal issues faced by corporates, including on cross-border transactions and the issues affecting businesses.

She is recognized as one of the leading lawyers in Nigeria and is internationally commended for her “exceptional service delivery” and for being “very smart, and intellectually creative if you need to find a solution and sort things out”.

Olayemi was also recently appointed as a member of the Technical Committee of the Nigerian Senate on Financial Law Reform.

Sefton Fross is pleased to announce the appointment of Sefton Fross Senior Associate, Enovwor Odukuye as Assistant Secretary of the Mergers, Acquisitions and Corporate Reorganisations Committee of the Nigerian Bar Association Section on Business Law.

Enovwor is a member of the Firms Banking & Finance and Energy & Natural Resources Practice Groups team and has acted on numerous high value mergers and acquisition transactions for the Firm, including in the oil and gas, electricity and financial services space.  She also has extensive experience advising on structured finance transactions, particularly derivatives.

She has amassed a wealth of experience advising multinational companies, governmental agencies, private investors, lenders and borrowers.

She is the co-author of Getting the Deal Through- Foreign Investment Review for 2016 published by Law Business Research UK.

Sefton Fross is pleased to announce the appointment of Managing Partner, Olayemi Anyanechi, as a member of the Nigerian Senate’s Technical Committee on Financial Law Reform.

The 12-man Committee consists of seasoned experts and leaders of industry from various disciplines including banking and finance, economics and law. The Committee is charged with reviewing and harmonizing bills undergoing legislative review, to assist the Senate ensure that Bills meet international standards, as well as minimize opportunities for regulatory arbitrage.

The respective Bills deal with a wide range of financial law matters, including the provision for the management, administration, operation, regulation and supervision of payment, clearing and settlement systems and connected matters; creation of a legal framework for national crediting reporting and connected matters, as well as amendment of the Foreign Exchange (Monitoring and Miscellaneous Provisions) Act.

The Committee was formally inaugurated on the 7th of March 2017 at the Senate in Abuja.

Sefton Fross acknowledges the know-how and expertise Olayemi will bring to the Committee and wish her and the other members of the Committee successful deliberations.

Our team of lawyers which includes Olayemi Anyanechi, Managing Partner; Enovwor Odukuye, Senior Associate and Oluwatobi Adeyemo, Associate were contributors to the EBA 2017 Report.

Sefton Fross is pleased to be a part of this World Bank initiative which presents data that measure legal barriers for businesses operating in agriculture in 62 economies and across 12 topic areas. The data can be used by governments, investors, analysts, researchers and others interested in the regulatory environment for agribusiness, to assess countries’ performance on the topics measured and to identify regulatory good practices.

Sefton Fross is pleased to announce that Olayemi Anyanechi, the firm’s Managing Partner was one of the speakers at the National Assembly Stakeholders Interactive Dialogue/Workshop titled “The Nigerian Power Challenge: A legislative Intervention”, held at the Congress Hall, Transcorp Hilton, Abuja on the 7th – 8th February 2017.

Olayemi presented a paper  titled “Developing a Liquidity Solution for the Nigerian Power Sector”. The Paper addressed the importance of a sustainable structure that addresses some of the fundamental reasons for the liquidity challenges in the sector, which invariably guarantees the improvement of Disco operational efficiency for the sustained growth of the NESI.

Sefton Fross has advised Standard Alliance Insurance Plc (SAIP) and Standard Alliance Life Assurance Limited on their Scheme of Merger.

The merger resulted in an enlarged SA Insurance as the resultant company, while Standard Alliance Life Assurance Limited was dissolved without winding up. The merger will position the enlarged SA Alliance carry on both the business of life and general insurance under one entity in Nigeria thereby positioning it for sustainable long term growth whilst strengthening its market share in the insurance industry and creating value for all stakeholders.
